Matthews International to Sell SGK Brand Solutions to Newly Formed Entity

Description

Matthews International Corporation has entered into a definitive agreement to sell its interest in SGK Brand Solutions to a newly formed entity created by affiliates of SGS & Co. Matthews will realize upfront consideration of $350 million and receive a 40% interest in the new entity, with an initial enterprise value of approximately $900 million. The cash proceeds from the sale will be used for immediate debt repayment. The new entity is projected to realize over $50 million of annual cost synergies.
