Description

On October 31, 2025, AbSci Corporation executed a Letter Agreement with SBGH, LLC, supplementing the previous Merger Agreement. This new agreement outlines the final distribution of milestone payments to certain former stockholders of Totient. The agreement is intended to amend and clarify payment obligations under the prior Merger Agreement. The total milestone payments to be distributed are approximately $7.6 million.
