Pursuant to the Merger Agreement, and upon the terms and conditions set forth therein: (i) the Company has agreed to acquire all of the outstanding shares of Masimo’s common stock for $180.00 per share, in cash, without interest and (ii) at the effective time, Merger Sub will merge with and into Masimo (the “ Merger ”), with Masimo continuing as the surviving corporation and a wholly owned subsidiary of the Company (the “ Transaction ”). The consummation of the Merger is subject to certain customary conditions, including the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and the receipt of certain non-U.S. antitrust and foreign direct investment approvals.
